Due to a significant acquisition, heavy ‘business as usual’ workload, a limited integration budget and a lack of merger related expertise on the team, our client’s company secretariat was struggling to integrate the acquired entity.
Plexus designed, mapped, and project-managed a four-tiered solution which would:
- Migrate and transfer the business units to the primary jurisdiction.
- Establish rigid governance and compliance guides, which would significantly mitigate risk.
- Identify opportunities to rationalise legal entities.
- Streamline and refine company secretariat processes and procedures.
With both top firm experience and ASX50 in-house experience spanning a +15 year career, our project lead had been Deputy Company Secretary for Australia’s largest listed company and had previously lead the Company Secretary integration of a large wealth management business for one of the Big Four banks.
The client’s company secretariat function was successfully consolidated and aligned with best practices, and procedures. The engagement was completed two months ahead of schedule and significantly under budget.
