Ever had an argument with someone? Of course you have. How did it leave you feeling? Unhappy, drained, disengaged? No doubt afterwards you saw less value in the relationship. Although you would hate to admit it you probably looked for a future opportunity to stick it to them.

Yet contract negotiation so often begins with polite confrontation and descends from there: Start with the most extreme positions and hope that through a combination of power, leverage and bluff you can get an advantageous Legal position. One best practice our clients love is our Terms Fairness Audit. The idea is relatively simple:

  1. Audit your agreements to identify clauses that have a high probability of getting negotiated, frustrating the customer

  2. Determine if there is an alternate ​‘softer’ position that has limited impact on risk or profitability

  3. Move to the softer clause
